Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the Vilva D2C platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business.

If you do not agree to these Terms, you may not access or use the Service. Continued use of the Service after any updates to these Terms constitutes acceptance of the revised Terms.

2. Description of Service

Vilva D2C provides a software-as-a-service platform that helps direct-to-consumer merchants build storefronts, manage orders, process payments, and run marketing campaigns. Features available to you depend on your subscription plan, as described on our Pricing page.

We may add, modify, or remove features from time to time as the Service evolves. We will make reasonable efforts to notify merchants of material changes that affect core functionality.

3. Accounts & Eligibility

You must be at least 18 years old and capable of forming a binding contract to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information during registration and to keep that information up to date. Notify us promptly if you suspect unauthorized access to your account.

4. Subscription, Billing & Renewal

Paid plans are billed in advance on a recurring basis (monthly or annually, depending on the plan you select) as described on our Pricing page. Subscriptions renew automatically unless cancelled before the next billing cycle.

Fees are exclusive of applicable taxes unless stated otherwise. You authorize us to charge your designated payment method for all fees due. Failure to pay may result in suspension or downgrade of your account.

Refund eligibility for cancelled or downgraded plans is governed by our Refund Policy.

5. Acceptable Use

You agree not to use the Service to sell prohibited or illegal goods, infringe on the intellectual property or privacy rights of others, distribute malware, or engage in fraud, money laundering, or deceptive commercial practices.

You also agree not to attempt to probe, scan, or breach the security of the platform, or to interfere with the normal operation of the Service for other merchants or their customers.

We reserve the right to investigate suspected violations and to suspend or terminate accounts that breach this section, with or without notice, depending on severity.

6. Merchant Content & Data

You retain ownership of the product listings, brand assets, customer data, and other content you upload to the Service ("Merchant Content"). You grant us a limited license to host, display, and process this content solely to operate and improve the Service on your behalf.

You are responsible for ensuring you have the necessary rights to any Merchant Content you upload, and for complying with applicable data protection laws when handling your customers' personal information through the platform.

7. Third-Party Services & Integrations

The Service may integrate with third-party tools such as payment gateways, shipping providers, and marketing platforms. Your use of these integrations is subject to the respective third party's own terms and policies, which we do not control.

We are not responsible for the availability, accuracy, or performance of third-party services, and any issues arising from them should be directed to the relevant provider.

8. Intellectual Property

The Vilva D2C platform, including its software, design, templates, and branding, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology beyond what is necessary to use the Service as intended.

Any feedback or suggestions you provide about the Service may be used by us without restriction or obligation to compensate you.

9. Termination

You may cancel your account at any time from your dashboard settings. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service.

Upon termination, your right to use the Service ends, though certain provisions of these Terms (such as intellectual property, disclaimers, and limitation of liability) will survive.

10. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or fully secure.

To the maximum extent permitted by law, Vilva D2C and its affiliates will not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data, arising out of your use of the Service.

11. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service or applicable law. We will post the revised Terms on this page and update the "Last updated" date above.

Material changes will be communicated to active merchants via email or an in-app notice where reasonably practicable. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
